As filed
Facts as filed with the SEC, and our arithmetic on them. A purchase or a sale says what an insider did, not why. Not investment advice.
Insiders are the officers and directors of a company and the owners of more than ten percent of its shares. They report each trade of the company's shares to the SEC on a Form 4, due within two business days.
A trade is placed by the day its report was filed with the SEC, so a week or a month holds the reports filed in it; each line also shows the day of the trade.
Understanding the insider trades
Where it stands today

What do these figures count?
Insiders are the officers and directors of a company and the owners of more than ten percent of its shares. They report each trade of the company's shares to the SEC on a Form 4, due within two business days.

A purchase (code P) is an open market or private purchase and a sale (code S) an open market or private sale. Grants, awards, exercises of options, gifts and shares withheld for tax have other codes and are not counted. Only the first Form 4 of a trade counts: an amended report, an initial statement of holdings and an annual statement are not read.
The value of a line is its shares times its price per share, in dollars. A line with no price, or a price of zero, counts in the counts and not in the dollar sums. So does a line whose value is over two billion dollars: it is left out of the sums and of the largest lists by rule, because values this large are mostly entry errors in the report. A week or a month appears only when every day's filings in it have been read.

What this number cannot tell you
- Insiders are the officers and directors of a company and the owners of more than ten percent of its shares. They report each trade of the company's shares to the SEC on a Form 4, due within two business days.
- A purchase (code P) is an open market or private purchase and a sale (code S) an open market or private sale. Grants, awards, exercises of options, gifts and shares withheld for tax have other codes and are not counted.
- Only the first Form 4 of a trade counts: an amended report, an initial statement of holdings and an annual statement are not read.
- A trade is placed by the day its report was filed with the SEC, so a week or a month holds the reports filed in it; each line also shows the day of the trade.
- The value of a line is its shares times its price per share, in dollars. A line with no price, or a price of zero, counts in the counts and not in the dollar sums. So does a line whose value is over two billion dollars: it is left out of the sums and of the largest lists by rule, because values this large are mostly entry errors in the report.
- A week or a month appears only when every day's filings in it have been read.
